Norseman Silver Inc. Closes Second and Final Tranche of Flow Through Financing

Vancouver, British Columbia – December 31, 2021 – Norseman Silver Inc. (TSXV:NOC) (“Norseman” or the “Company”) is pleased to announce that, further to its press releases of December 15, 2021 and December 29, 2021, it has closed the second and final tranche of its non-brokered private placement (the “Private Placement”) consisting of 250,000 flow through units (a “FT Unit”) at a price of $0.30 per FT Unit for gross proceeds of $75,000. Each FT Unit is comprised of one common share of the Company (each, a “FT Share”) and one half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant will entitle the holder to purchase one additional non-flow-through common share in the capital of the Company at an exercise price of $0.34 for a period of two years from the date of issuance. The FT Shares will qualify as flow-through shares for purposes of the Income Tax Act (Canada).
The process proceeds of the Private Placement will be used for exploration on Norseman’s projects in British Columbia, Canada, and for general working capital.
Finder’s fees of $2,100 cash and 7,000 Warrants have been paid in connection with the Private Placement to qualified parties. The Warrants issued to the finders have an exercise price of $0.30 for a period of two years from the date of issuance.
All securities issued are subject to a statutory four month and one day hold period from the date of issuance pursuant to applicable securities laws of Canada.
